Which US States Allow a Virtual Address for an LLC

A virtual address is a physical location that you can use for your business without actually occupying it. For example, if you want to do business in a different state, using a virtual address allows you to do so without moving to that state. You may also be able to use virtual addresses for LLC incorporations, depending on where you plan to handle this process.

In all 50 states, LLC incorporation requires a physical street address to receive official business mail. This means that options such as P.O. boxes or postal office addresses are not eligible.

Compliance Considerations to Know

All 50 states currently allow a virtual address for LLC formation, provided that a physical address (the virtual address provided) and a registered agent are available to receive mail. However, some states have additional requirements, outlined below.

California

LLCs must file a complete Statement of Information to answer the Labor Judgment question. 

Colorado

Effective July 2025, an LLC’s registered agent must be a Colorado resident.

Delaware

An LLC’s registered agent must be either a resident or a business authorized to do business in the state. A new law in the state, which took effect in August 2025, requires all registered agents to maintain a physical location for LLCs that use a virtual address. 

Indiana

Sellers without a physical location in Indiana must have a registered retail merchant’s certificate if gross revenue from the sale of tangible personal property delivered into Indiana, a product transferred electronically into Indiana, or a service in Indiana that exceeds $100,000 in that calendar year.

Louisiana

An LLC cannot be formed for banking or insurance underwriting, operating homesteads, or building and loan associations.

Minnesota

LLCs cannot use “bank” or “trust” unless it refers to a financial institution. The word “insurance” must include the moniker “agency, broker, brokerage, or services”.

New York

Due to the New York LLC Transparency Act (NY LLCTA), LLCs must now include the identity of verified beneficial owners. They are defined as individuals who exercise direct or indirect control over the LLC or own at least 25% of the LLC. LLCs must include the beneficial owner’s full name, date of birth, current address, and either their driver’s license number, passport number, or state identification card number. 

Wyoming

LLCs beginning with the letter “A” must be filed on paper for manual review with the Secretary of State’s Office.
