Which US States Allow a Virtual Address for an LLC
A virtual address is a physical location that you can use for your business without actually occupying it. For example, if you want to do business in a different state, using a virtual address allows you to do so without moving to that state. You may also be able to use virtual addresses for LLC incorporations, depending on where you plan to handle this process.
Learn how virtual addresses work and learn the steps to establish an LLC by state.
Why Use a Virtual Address for Your LLC?
In all 50 states, LLC incorporation requires a physical street address to receive official business mail. This means that options such as P.O. boxes or postal office addresses are not eligible.
However, that does not mean you need to have a physical business presence in that state. Instead, a virtual address provides a physical address and a registered agent to receive mail on your behalf, without requiring you to operate there.
Additional Benefits to Using a Virtual Address for Your LLC
Beyond meeting legal requirements, a virtual address provides entrepreneurs with the following advantages:
Privacy: LLCs have public addresses. If you were to use your home address, people could look up your home address, potentially leading to spam mail or unwanted visitors. A virtual address keeps you and your loved ones safe and private.
Work/life balance: Separating your work from your home through a virtual address will help you “turn off” after work. You will receive business mail at the virtual address, ensuring it is separate from your personal mail and allowing you to maintain a clear distinction between personal and professional spaces in your mind.
A professional image: Choosing a virtual address in a respected, commercial area will legitimize your business more effectively compared to a residential address. You can create a positive first impression with prospective partners, investors, and customers.
Scalability: If your business starts to take off, a virtual address makes it easier to scale. If you want to expand to other cities or even states, you can continue to use virtual addresses.
A larger investment budget: Compared to using a physical business location, a virtual address will save you money. There will be no additional costs for furniture, utilities, etc.; the rent will be the only expense. In addition, many providers, such as Davinci, offer additional services that can help streamline your business operations and save you money over hiring someone.
Tax benefit: A virtual address is a legitimate business expense and can be treated as such for tax purposes. Additionally, depending on where you establish your LLC, that state may have additional tax incentives.
Compliance Considerations to Know
All 50 states currently allow a virtual address for LLC formation, provided that a physical address (the virtual address provided) and a registered agent are available to receive mail. However, some states have additional requirements, outlined below.
California
LLCs must file a complete Statement of Information to answer the Labor Judgment question.
Colorado
Effective July 2025, an LLC’s registered agent must be a Colorado resident.
Delaware
An LLC’s registered agent must be either a resident or a business authorized to do business in the state. A new law in the state, which took effect in August 2025, requires all registered agents to maintain a physical location for LLCs that use a virtual address.
Indiana
Sellers without a physical location in Indiana must have a registered retail merchant’s certificate if gross revenue from the sale of tangible personal property delivered into Indiana, a product transferred electronically into Indiana, or a service in Indiana that exceeds $100,000 in that calendar year.
Louisiana
An LLC cannot be formed for banking or insurance underwriting, operating homesteads, or building and loan associations.
Minnesota
LLCs cannot use “bank” or “trust” unless it refers to a financial institution. The word “insurance” must include the moniker “agency, broker, brokerage, or services”.
New York
Due to the New York LLC Transparency Act (NY LLCTA), LLCs must now include the identity of verified beneficial owners. They are defined as individuals who exercise direct or indirect control over the LLC or own at least 25% of the LLC. LLCs must include the beneficial owner’s full name, date of birth, current address, and either their driver’s license number, passport number, or state identification card number.
Wyoming
LLCs beginning with the letter “A” must be filed on paper for manual review with the Secretary of State’s Office.
